Terms of Use for Sand to Green Software Platform

1. Purpose

These Terms of Use govern access to and use of Sand to Green’s software platform, which provides tools for the field analysis and design of regenerative agriculture projects. 

2. Definitions

  • “Platform” refers to the digital tools, databases, and services offered by Sand to Green. 
  • “User” refers to any individual or legal entity, excluding Sand to Green staff and contractors, who has been granted authorized access to the platform. 
  • “Content” includes, without limitation, any data, maps, indicators, simulations, visualizations, algorithms, computations, reports, images, and any other outputs, materials, or resources generated, displayed, or made available by the platform, regardless of their format or medium. 

3. Access and Use

Access to the Platform is reserved for Users with an active subscription or access agreement. The User agrees to use the Platform in compliance with applicable laws and for the purposes defined in their subscription. Unauthorized use or access sharing is prohibited. 

4. Intellectual Property

All components of the Platform, including but not limited to source code, algorithms, datasets, images, visual elements, UX and UI designs, architecture, proprietary intelligence, and any other content or functionality, are the exclusive property of Sand to Green or its licensors. This includes all elements generated by or embedded within the platform, whether visible to users or not. No part of the Platform may be copied, reproduced, distributed, modified, scrapped, or reverse-engineered in whole or in part, by any means and for any purpose, without the prior written consent of Sand to Green. 

5. Use of Generated Data and Designs

The designs, models, and recommendations generated by the Platform are based on algorithms, available datasets, and inputs provided or accepted by the User. Sand to Green provides these as decision-support tools and cannot be held responsible for the success or failure of any project implemented based on these outputs. 

6. Limitation of Liability on Field Implementation

Sand to Green expressly declines any responsibility regarding the concrete implementation of any regenerative project or land use initiative resulting from the use of its software. In particular, Sand to Green cannot be held liable for non-compliance with labor, environmental, or human rights standards—including, but not limited to, child labor, forced labor, or violations of indigenous rights—in projects executed by the User or third parties. 

7. User Data and Privacy

Sand to Green collects and processes certain data in order to provide its services. This data may include geospatial information, agronomic parameters and data, and usage logs. Upon uploading, users agree to transfer to Sand to Green all rights of ownership and usage over the submitted data, including any intellectual property rights, unless otherwise specified by a written agreement. Sand to Green may store, analyze, reproduce, and use this data freely, including for service improvement, research, or commercial purposes, in full compliance with applicable data protection laws. 

All uploaded data will be treated as confidential and will not be shared with third parties in a personally identifiable or sensitive form, except where required by law or expressly authorized by the user. Sand to Green implements appropriate technical and organizational measures to ensure the security and confidentiality of the data, including access control, encryption, and data segregation. 

Where the uploaded data includes personal data as defined by the General Data Protection Regulation (GDPR – Regulation (EU) 2016/679), Sand to Green shall act as a data controller or data processor as applicable, and shall process such data lawfully, fairly, and transparently. Users have the right to access, rectify, restrict, or erase their personal data in accordance with GDPR provisions. 

Users waive the right to request deletion of such data once it has been integrated into aggregated or anonymized datasets.  

8. Confidentiality

Sand to Green commits to maintaining the confidentiality of proprietary data uploaded by Users. The User agrees not to disclose any proprietary algorithms, tools, documents, datasets, visuals, analysis, or computed agronomic knowledge accessed through the Platform. 

9. Service Levels and Limitation of Liability

9.1 Availability and Maintenance 

Sand to Green undertakes to make its best efforts to ensure the continuous, secure, and efficient operation of its services. However, Sand to Green provides no warranty that the service will be uninterrupted, timely, or error-free. Periodic maintenance operations, updates, or improvements may require temporary service interruptions, which will, whenever possible, be communicated in advance to users. 

9.2 Force Majeure and Third-Party Failures 

Sand to Green shall not be held liable for service disruptions or unavailability resulting from causes beyond its reasonable control, including but not limited to force majeure events, power outages, internet service provider failures, hosting provider incidents, cyberattacks, or regulatory restrictions. In such cases, no compensation shall be due. 

9.3 Limitation of Liability 

Sand to Green shall not be liable for indirect, incidental, or consequential damages, including loss of data, profit, revenue, or business opportunities, arising from the use or inability to use the service, even if Sand to Green has been advised of the possibility of such damages. The user acknowledges that use of the service is at their sole risk and discretion. 

9.4 Technical Support and Incident Response 

Sand to Green provides technical support under reasonable conditions and within the limits of available resources. In case of service interruption, the company undertakes to diagnose and restore functionality as soon as reasonably possible.

10. Support and Updates

Support is provided via email or the in-app ticketing system. Sand to Green reserves the right to update or modify the Platform, its functionalities, or its interface at any time to improve performance, security, or compliance.

11. Third-Party Services

Some features may rely on third-party APIs or services (e.g., satellite imagery, soil databases). Sand to Green cannot guarantee the continuous availability or accuracy of these external services.

12. Modifications to the Terms

Sand to Green reserves the right to modify these Terms of Use at any time. Users will be notified of material changes and continued use of the Platform constitutes acceptance of the new terms.

13. Payment Terms

Use of Sand to Green’s digital tools is subject to a monthly payment, in accordance with the subscription plan chosen by the User. Payments are due on the date specified in the selected plan, and must be made via the authorized payment methods provided on the Platform. 

In case of failed or delayed payment, Sand to Green reserves the right to suspend access to the software and related services until the situation is resolved. Repeated failure to pay may result in permanent termination of the account. 

All prices are stated exclusive of applicable taxes, which will be added as required by law.

14. Termination

The User may terminate their subscription at any time by providing written notice through the appropriate section of the Platform or via email. Termination will take effect at the end of the current billing cycle, and no refunds will be issued for the remaining period. 

Sand to Green reserves the right to terminate access to the software in the event of a breach of these Terms of Use, misuse of the Platform, or failure to comply with payment obligations. 

Upon termination, the User will no longer have access to the tools and any associated data. It is the User’s responsibility to export any data prior to the end of the subscription.
